This agreement contains the complete terms and conditions between us, Big Resources, Inc . (the publishers of StockedPhotos), and you, the applicant, regarding your application to participate in the StockedPhotos Affiliate Program. Upon our acceptance of your application and your execution of this agreement in the place provided below, this will be a legally binding agreement between you and us.

Compensation: StockedPhotos agrees to compensate affiliates for 20% of the total sale price of purchases made by visitors sent through, and tracked by, authorized affiliate links. Payments will be made once a minimum earnings has been made of 50 US Dollars or greater. Payments will be made to a valid mailing address, which must be provided by the affiliate.

Account Details and Tracking: A valid username and password shall be chosen by the affiliate at the time of sign-up. After the completion of the affiliate registration process, this username and password may be used for access to detailed tracking and statistics, as well as for the acquisition of valid affiliate tracking links and advertisements.

Due Diligence: Commissions generated by the affiliate may be subject for verification by StockedPhotos.com to ensure authenticity. StockedPhotos reserves the right to remove commissions for fraudulent or false commissions.

Terms of Use: Affiliates agree not to engage in spam nor other illegal or fraudulent activities in order to gain commissions through the StockedPhotos affiliate program. You also agree that StockedPhotos holds the right to modify this agreement at any time without prior notice.

Relationship of Parties: You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section.

Disclaimers: We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Indemnification: You agree to indemnify, defend and hold harmless Big Resources, Inc., its shareholders, officers, directors, employees, agents, corporate affiliates, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses including reasonable attorneys' fees and costs, of any nature whatsoever incurred or suffered by Big Resources, Inc. (collectively the "Losses"), in so far as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim or threatened claim that our use of your name, titles, logos or trademarks infringes on the rights of any third party; (ii) the breach of any representation or warranty made by you herein; or (iii) or any claim related to the development, operation, maintenance or content of Your site. This section survives termination of this Agreement.

Termination: This affiliate relationship may be terminated by either party at any time.
